The ZTPass website at www.ztpass.com and any related subdomains (the "Website"), the ZTPass Key Manager mobile application (the "App"), and our SMS/text messaging (together with the Website and App, the "Service") are operated by ZTPASS INC. ("ZTPass," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Service. We may process your personal data in connection with your use of the Service; for details, see our Privacy Policy, which is incorporated by reference into these Terms. By accessing or using the Website, downloading or using the App, purchasing ZTPass products, or opting in to receive SMS messages from ZTPass, you agree that you have read, understood, and agree to be bound by these Terms.

1. General

ZTPass may, in its sole discretion, change, modify, suspend, improve, or discontinue any aspect of the Service, temporarily or permanently, at any time and without notice. ZTPass will not be liable for any such change, modification, suspension, improvement, or discontinuance. If you do not agree with any such change, you should stop using the Service.

2. Registration and Accounts

If you register for an account or provide information to ZTPass (for example, when purchasing a product, contacting support, or opting in to SMS messages), you represent and warrant that the information you provide is true and accurate, and you agree to promptly update it if it changes. You must immediately notify us of any unauthorized use of your account or any other breach of security. ZTPass reserves the right to suspend or terminate access to the Service if you provide false or inaccurate information.

3. Responsibility of Website and App Visitors

You are responsible for taking reasonable precautions to protect yourself and your devices from viruses, malware, and other harmful content. ZTPass disclaims responsibility for any harm resulting from your use of the Website or App, or from any content you download through them.

4. ZTPass Key Manager App

The Key Manager App is provided to help you manage and personalize your own ZTPass security keys and smart cards, including FIDO2 and PIV configuration functions. You are responsible for safeguarding your devices, PINs, PUKs, and administrative keys. ZTPass is not responsible for loss of access to accounts or services resulting from lost credentials, lost devices, or actions you take within the App, including resets or configuration changes you initiate.

5. Products and Orders

Purchases of ZTPass hardware and services made through the Website are subject to the order, shipping, warranty, and return terms presented to you at the time of purchase, in addition to these Terms. Product availability, pricing, and specifications are subject to change without notice.

6. SMS / Text Messaging Terms and Conditions

If you opt in to receive text messages from ZTPass (for example, through a Website form, order confirmation flow, or account sign-up), the following terms apply to that SMS program in addition to the rest of these Terms.

6.1 Types of Messages

By opting in, you may receive recurring SMS messages from ZTPass related to your account and orders, including messages such as:

• Order and shipping alerts (e.g., order confirmations, shipping and delivery updates);
• Account notifications (e.g., account or security key setup confirmations, support ticket updates);
• Appointment or scheduling reminders (e.g., support calls, demos, or onboarding sessions); and
• Customer service communications related to your inquiries or requests.

ZTPass does not use the SMS program to send third-party marketing messages, and your SMS opt-in and mobile number are not shared with third parties or affiliates for their own marketing purposes.

6.2 Messaging Frequency

Messaging frequency may vary depending on your orders, account activity, and interactions with ZTPass.

6.3 Message and Data Rates

Message and data rates may apply, depending on your mobile carrier and plan. ZTPass is not responsible for charges billed by your wireless carrier.

6.4 How to Opt Out

To opt out at any time, text STOP to the number from which you received ZTPass messages. After you send STOP, we will confirm your opt-out and you will not receive further SMS messages from that program unless you opt in again.

6.6 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. Supported carriers are not liable for delayed or undelivered messages.

ZTPass, the ZTPass logo, ZTPass Key Manager, and other trademarks, service marks, graphics, and logos used in connection with the Service are trademarks of ZTPass or its licensors. Your use of the Service grants you no right or license to reproduce or otherwise use any ZTPass or third-party trademarks.
